WinRFQ Payment Terms

Effective Date: November 3, 2026
Last Updated: November 3, 2026

1. Scope of These Payment Terms

These Payment Terms govern fees charged by WinRFQ Inc. ("WinRFQ", "we", "us" or "our") for subscriptions, memberships, supplier verification features, premium access and other paid Platform services. They do not govern payments for hardware or other products purchased by buyers from suppliers through the Platform.

2. WinRFQ Is Not a Hardware Payment Intermediary

WinRFQ does not collect, receive, hold, process, settle, transfer or distribute payments on behalf of buyers or suppliers for hardware transactions. WinRFQ does not provide escrow, payment protection, trade finance, credit facilities, transaction settlement or purchase-payment guarantees. All hardware purchase payments are arranged directly between the buyer and supplier outside the scope of WinRFQ. The buyer and supplier are independently responsible for agreeing on:

  • Purchase price.
  • Currency.
  • Payment method.
  • Deposit and advance-payment requirements.
  • Payment milestones.
  • Bank account and beneficiary details.
  • Credit arrangements.
  • Invoicing.
  • Refunds and chargebacks.
  • Payment deadlines and consequences of non-payment.

WinRFQ does not verify or guarantee the correctness of payment instructions provided by a buyer or supplier. Users should independently verify beneficiary details through trusted communication channels before making payments.

3. Platform Fees

WinRFQ may offer certain services free of charge and other services on a paid basis. Paid services may include:

  • Supplier subscriptions.
  • Premium supplier memberships.
  • Optional supplier verification features.
  • Enhanced marketplace visibility.
  • Premium access to RFQs or platform tools.
  • Other features introduced by WinRFQ.

The price, billing frequency, duration and included features of a paid service will be displayed before purchase. A subscription or paid membership is a payment for access to the applicable Platform service. It is not payment for hardware and does not guarantee that a supplier will receive orders or that a buyer will obtain quotations.

4. Billing and Payment Processing

Platform fees may be collected using payment methods supported by WinRFQ or its designated payment processor. Depending on the available payment method, Users may be required to provide billing information or authorize recurring payments. Where a third-party payment processor is used:

  • Payment processing may be governed by that provider's terms and privacy policy.
  • The processor may collect and process payment information directly.
  • WinRFQ may receive payment status, transaction references and related billing information.

WinRFQ does not intend to store full payment card numbers or card security codes on its own servers. Users must provide accurate billing information and maintain a valid payment method where required.

5. Subscription Renewal

If a paid service is offered on a recurring basis, the renewal frequency and price will be disclosed at checkout. Unless the checkout page states otherwise, subscriptions automatically renew for successive billing periods until cancelled. Users authorize WinRFQ or its payment processor to charge the applicable recurring fee using the selected payment method. Users are responsible for cancelling subscriptions before the next renewal date if they do not wish to continue.

6. Cancellation

Users may cancel recurring subscriptions through the available account billing controls or by contacting hello@winrfq.com. Unless otherwise stated at purchase:

  • Cancellation stops future renewals.
  • Access to paid features may continue until the end of the already-paid billing period.
  • Cancellation does not automatically create a refund for a partially used billing period.
  • Outstanding charges remain payable.

If a subscription cannot be cancelled through the account interface, users may contact WinRFQ for assistance.

7. Refund Policy

Unless expressly stated otherwise or required by applicable law, payments for completed subscription periods and digital Platform services are non-refundable. Refunds may be considered where:

  • WinRFQ has charged a User incorrectly.
  • A duplicate payment has occurred.
  • A paid feature was not made available due to a material failure attributable to WinRFQ.
  • WinRFQ expressly approves a refund.
  • A refund is required by applicable law.

No refund will be provided merely because:

  • A supplier did not receive a purchase order.
  • A buyer did not receive a quotation.
  • A quotation did not result in a transaction.
  • A supplier failed to deliver hardware.
  • A buyer failed to complete a purchase.
  • A User did not generate expected revenue or business opportunities.

Refunds of hardware purchase payments are matters exclusively between the buyer and supplier. WinRFQ does not process or guarantee those refunds.

8. Taxes

Platform fees may be subject to applicable taxes, duties or similar government charges. Where required, such taxes will be displayed or collected at the relevant point of purchase. Users are responsible for taxes arising from their own hardware transactions, including sales tax, use tax, VAT, GST, import duties, customs charges and other applicable assessments. WinRFQ does not determine or assume the tax obligations of buyers or suppliers arising from their independent transactions.

9. Failed Payments and Account Restrictions

If a payment for a paid Platform service fails, WinRFQ may:

  • Notify the User of the payment failure.
  • Request an updated payment method.
  • Retry the payment where permitted.
  • Suspend or restrict the relevant paid features.
  • Cancel a subscription for non-payment.

WinRFQ is not responsible for fees, penalties or losses imposed by a User's bank or payment provider.

10. Price and Service Changes

WinRFQ may introduce new paid features, modify existing plans or change subscription prices. Any applicable price changes will be communicated before they apply to a future billing period, subject to applicable law and the relevant subscription terms. Changes to platform fees do not change the separate commercial agreements between buyers and suppliers.

11. Chargebacks and Payment Disputes

Users should contact WinRFQ promptly if they believe a Platform fee has been charged incorrectly. Submitting a chargeback for a legitimate Platform subscription charge may result in investigation, temporary account restrictions or suspension, subject to applicable law. This section does not restrict any non-waivable payment rights a User may have. Hardware payment disputes must be addressed directly between the buyer and supplier and their respective payment providers.

12. No Hardware Transaction Liability

WINRFQ SHALL NOT BE FINANCIALLY RESPONSIBLE FOR ANY PAYMENT, DEPOSIT, ADVANCE, BALANCE, REFUND, CHARGEBACK, BANK TRANSFER OR OTHER FINANCIAL ARRANGEMENT BETWEEN A BUYER AND A SUPPLIER. WinRFQ does not guarantee that either party will make or receive payment. A User’s decision to transfer money to another User is made independently and entirely at that User’s own risk.
