WinRFQ Disclaimer

1. Platform-Only Role

WinRFQ Inc. operates a technology platform that connects independent buyers and suppliers in the IT hardware and data center equipment market. WinRFQ provides a digital environment for publishing requests for quotations, submitting supplier quotations and comparing commercial information. WinRFQ is not a seller, buyer, manufacturer, distributor, reseller, broker, agent, procurement representative, payment intermediary or logistics provider. All commercial transactions are independently negotiated and completed between the relevant buyer and supplier. WinRFQ does not become a party to any purchase, sale, supply, payment or delivery agreement between Users.

2. No Responsibility for Buyer-Supplier Transactions

WinRFQ does not accept financial or contractual responsibility for transactions between buyers and suppliers. This includes, without limitation:

• Buyer non-payment.
• Supplier non-delivery.
• Failure to fulfill a purchase order.
• Delayed or incomplete deliveries.
• Fraud or misrepresentation.
• Product defects or quality disputes.
• Incorrect stock or lead-time information.
• Warranty or return disputes.
• Payment fraud or bank-transfer losses.
• Shipping, insurance, customs or tax disputes.
• Supplier or buyer insolvency.
• Losses arising from a breach of contract between Users.

Buyers and suppliers are responsible for independently verifying the other party and documenting their commercial arrangements.

3. No Product Quality or Authenticity Guarantee

WinRFQ does not own, inspect, test, authenticate, certify, store or supply hardware quoted through the Platform. All statements regarding product identity, condition, authenticity, specifications, compatibility, warranty, provenance, stock and availability are made by the relevant supplier. WinRFQ makes no representation or warranty regarding any product offered or quoted by a User. Buyers should independently verify hardware, especially high-value or sensitive equipment, before making payment or accepting delivery.

4. Seller Verification Disclaimer

WinRFQ may review supplier documentation, including incorporation records, reseller certificates, W-9 forms and other business information. A verification badge or status indicates only that a review has been completed according to the applicable WinRFQ process at a particular time. It does not guarantee:

• The supplier's financial stability or solvency.
• The supplier's authority to sell every quoted product.
• The authenticity or condition of hardware.
• The accuracy of quotations.
• Availability of inventory.
• Fulfillment of delivery commitments.
• Validity or enforceability of a warranty.
• Future compliance or business conduct.

A verified supplier can default, become insolvent, misrepresent information or fail to perform. Buyers must conduct their own due diligence and must not rely solely on a verification badge.

5. Supplier-Provided Quotations and Information

Prices, product specifications, quantities, stock availability, lead times, warranty terms and other commercial details displayed on WinRFQ are based on information submitted by Users. WinRFQ does not independently confirm every representation. Where WinRFQ assists a buyer in obtaining details supplied by a seller, that assistance is limited to information actually provided by the seller and available to WinRFQ. It does not constitute independent validation or certification. WinRFQ has no obligation to obtain information that a seller has not supplied.

6. Price and Lead-Time Comparisons

WinRFQ may provide comparison tools or highlight the lowest price, fastest lead time or other quotation characteristics. These indicators are based on submitted data and configured calculation methods. They are informational only and do not constitute a recommendation, endorsement or guarantee. The lowest price or shortest stated delivery period may not represent the best commercial option. Buyers are responsible for reviewing all quotation terms before making decisions.

7. No Payment or Escrow Services

WinRFQ does not process, hold, guarantee, insure or distribute payments for hardware transactions between buyers and suppliers. Payments are arranged directly between the relevant parties. WinRFQ is not responsible for payment instructions, beneficiary details, wire transfers, bank accounts, credit arrangements, refunds, chargebacks or payment disputes arising from those transactions. Any payments collected by WinRFQ for its own subscriptions or Platform services are separate from payments for hardware.

8. No Professional Advice

Information on WinRFQ is provided for general business and procurement purposes. It does not constitute legal, tax, accounting, financial, engineering, cybersecurity, technical or procurement advice. Users should obtain appropriate professional advice where required.

9. Platform Availability and Accuracy

WinRFQ endeavors to maintain a useful and reliable Platform but does not warrant uninterrupted availability, error-free functionality or complete accuracy of all information. The Platform may experience interruptions, technical errors, maintenance periods or service-provider failures. Information may become outdated or unavailable.

10. Third-Party Services

WinRFQ may rely on third-party providers and external services. We do not control independent third-party websites, providers, communications networks or services and are not responsible for their separate actions or omissions, subject to applicable law.

11. Limitation

To the maximum extent permitted by applicable law, WinRFQ disclaims liability for losses arising from reliance on User-submitted information, supplier representations, buyer-supplier transactions or third-party conduct. Nothing in this Disclaimer excludes or limits liability that cannot lawfully be excluded or limited.
